Your company manufactures portions of the landing gear used in commercial airplanes. Traditionally, the parts your company manufactured were after market or replacement parts, not original equipment. The company was recently awarded a $50,000,000 five year subcontract for landing gear parts to be used as original equipment in the next generation of commercial airplanes.
The company has never had an in house counsel. Moreover, the company has never been involved in litigation and, thus, has never retained outside counsel. Your boss recalls that you took BUS 415 at the University of Phoenix and that you understand general legal issues. She asks you to prepare a proposal for the selection of an outside lawyer or law firm to review the 50 page subcontract prepared by the airplane manufacturer s legal department. However, your boss wants you to obtain her final approval, including her approval of the business terms, such as retainers and hourly rates. Accordingly, she wants your recommendations in writing.
Based on the above scenario, prepare a paper setting forth your recommendations. Among other things, your paper should discuss: (1) the processes you used to identify and select counsel, (2) what factors were the most/least important in that process, (3) the lawyers or law firms that you considered for the first cut , (4) which of those made the final cut for consideration and why, and (5) the lawyer or law firm you finally recommend and why. Parts 1 5 account for 90% of your grade. (6) discuss the proposed business terms, such as whether you are recommending a long or short term relationship and why.
